Subsidiaries

PT Jakarta International Container Terminal (PT JICT) is an affiliate of the Company which was established in 1999. The majority shareholding is owned by Hutchison Port Holding Group (HPH Group) at 51%. The remaining 48,9% of which is owned by Koperasi Pegawai Maritim.

The business line of PT JICT is container loading/unloading service both for export and import at Tanjung Priok Port. Upon its inception, PT JICT could manage the handling of 1.8 million TEUs and increased by 2.4 million TEUs at the end of 2007. With its existing operations and capacity, PT JICT is the biggest and busiest container terminal in Indonesia. With an addition of 552-meter wharf and 3.5 hectares of stacking yard, PT JICT is now capable of serving the container traffic up to 3 million TEUs per annum at Tanjung Priok Port.

JICT is strategically located at the industrial heartland of West Java. To optimize service and support the growth of the national economy, JICT has embarked on a number of expansion projects since 2008, including the addition of quay and yard equipment, the implementation of a sophisticated terminal operating system and the first Auto gate system in Indonesia Port.

PT IPC Terminal Petikemas is a subsidiary that was established on July 10, 2013 with Deed of Establishment No. 25 July 10, 2013 and the Deed of the Ministry of Law and Human Rights (Kemenkumham) No. AHU-40641.AH.01.01 in 2013. TPK IPC shares are owned by PT Pelabuhan Indonesia II (Persero) 99% and 1% shares are owned by PT Multi Terminal Indonesia. The company began operating on July 1, 2015.

At present IPC TPK has operated activities in 2 IPC branches namely Pontianak and Jambi. Services provided by the IPC TPK at these 2 Branches include dock services, loading and unloading of goods and containers, warehouse and stockpiling services, loading and unloading equipment and port equipment, container terminal services, bulk water, dry bulk, and various forms

In addition to operating services above PT. IPC TPK in collaboration with Sea Terminal Management & Services Pte Ltd (Mitsui Co. Ltd., PSA International and NYK Line) formed the New Priok Container Terminal 1 (NPCT1) joint venture company. This NPCT 1 is the First Phase of the New Priok development and began commercial operation on 18 August 2016.
 

PT Terminal Petikemas Indonesia is a subsidiary established on April 10, 2013 with Establishment Deed no. 36 dated April 10, 2013 and the Deed of the Ministry of Law and Human Rights (Kemenkumham) AHU-AH.01.10-21873 in 2013.

TPI shares are owned respectively by PT Pelabuhan Indonesia I (Persero) 25%, PT Pelabuhan Indonesia II (Persero) 25%, PT Pelabuhan Indonesia III (Persero) 25% and owned by PT PelabuhanIndonesia IV (Persero) 25%. The company began its activities in the Performance Improvement Performance Improvement Program (PIP) in Belawan Domestic Container Terminal (TPDB) of PT PelabuhanIndonesia I (Persero) and Makassar Container Terminal (TPM) of PT Pelabuhan Indonesia IV (Persero) on January 27, 2014. TPI was established, among others, to improve connectivity between Terminal Container in Indonesia, so that it can reduce ship waiting time both at the port pool and at the destination container terminal and ultimately eliminate the price disparity of goods in Western Indonesia and Eastern Indonesia, particularly in the field of container services.

On December 18, 2015, based on the results of the GMS preparation meeting to prepare the Work Plan of PT. Indonesian Ports 1, 11, 1, and IV (Persero) in 2016, the Ministry of State-Owned Enterprises assigned the company to build and manage the door-to-door Domestic Container Service Portal. With this assignment, the Company not only manages the physical packaging terminals, but also becomes a virtual container terminal manager through the operation of internet portals.

 

PT Pelabuhan Tanjung Priok (PT PTP) is a subsidiary that was established on 10 June 2013 with Deed Establishment no. 27 dated 10 June 2013 and the Deed of the Ministry of Law and Human Rights (Kemenkumham) no. AHU-42024.AH.01.01 of 2013.

As a subsidiary of Tanjung Priok Port, PT PTP serves passenger, domestic and foreign vessels. Complete intermodal facilities at Tanjung Priok Port are able to distribute logistics throughout Indonesia.

PTP's Business Field consists of 2 (two) business groups, namely the supply and service of port services and related to port. Tanjung Priok Port is a port with multipurpose terminal category which is divided into 3 operating terminal areas, namely Terminal 1, Terminal 2, and Terminal 3. Each terminal has an area of ​​453,047 m2 for terminal 1, 490,246 m2 for terminal 2, and 335,369 m2 for terminal 3.

To carry out its operations, PT PTP conducts joint operations with Load and Loading Company where PT PTP provides the docks and supporting facilities, while PBM provides equipment, labor and other loading and unloading support equipment with a revenue sharing system.

 

PT Multi Terminal Indonesia (PT MTI) is a subsidiary engaged in three business segments which are Multi Purpose Terminal, Container Terminal and Freight Forwarding. The Company is a spin off from Terminal Business Division (DUT) under Tanjung Priok Port Branch. PT MTI which was established on 15 February 2002 is intended to optimize the business potentials and to strengthen the competitive advantages as the provider of port services. PT MTI is 99% owned by the Company and 1% by Koperasi Pegawai Maritim (Kopegmar).

PT Indonesia Kendaraan Terminal is a subsidiary of PT Pelabuhan Indonesia II established on November 5, 2012. The company is engaged in the provision and development of port facilities, as well as optimizing the use of resources of the Company. PT Indonesia Kendaraan Terminal engaged in the loading and unloading of goods to and from the ship which includes cargodoring, stevedoring companies and from ships, receiving dan delivery and stevedoring.

PT Pengembang Pelabuhan Indonesia, known as PPI is a subsidiary of PT Pelabuhan Indonesia II (Persero) was established on November 5, 2012. PT PPI is present as a Pioneer in Providing a Reliable Infrastructure Facilities Ports in Indonesia. As for PT Multi Terminal Indonesia which still is a subsidiary of PT Pelabuhan Indonesia II (Persero) is a holding company of PT PPI.

PT Jasa Peralatan Pelabuhan was established on November 13, 2012 is a subsidiary of PT Pelabuhan Indonesia II which engaged in bussiness line as a service provider of basic equipment and support for loading and unloading activities, rental of loading and unloading equipment, repair and maintenance of loading and unloading activities. PT JPPI shareholding is owned by PT Multi Terminal Indonesia.

The establishment of PT JPPI embrace the vision of being the leading company in the field of port equipment service. The vision will drive JPPI to be main and reliable partner of equiptment maintenance among IPC group, become a trusted partner for IPC group as well as being the largest company in the field of port equiptment services.

Business activities of PT JPPI is working in the field of Technical Organizer Services that includes installation/Assembly, repair and maintenance as well as the installation of equipment for water, gas, telecommunications, electrical and mechanical, the press (boller/pressure Vessel) and other related businesses.

 

Initially PT Pengerukan Indonesia (PT Rukindo) was a combination of all Dredging Divisions under the BPP (Port Management Agency / Port Administrator) with the status of PerumPukan Dukan which was formed based on Government Regulation (PP) number 18 of 1983 dated April 30 1983 and its guidance under the Department of Transportation.

On October 1, 1991, based on PP number 9 of 1991 on February 1, 1991, the Dredging Public status changed to PT Pengerukan Indonesia. The PT Rukindo Restructuring Program was initiated by the Vice President's Directive at the BUMN Ministry Coordination Meeting on February 19, 2007 which was then followed up with:

1. Letter of the Minister of State Enterprises number S-75 / MBU / 2007 dated May 3, 2007, number S-276 / MBU / 2007 dated May 3, 2007 concerning the Rukindo Restructuring Program.
2. Letter of the Minister of State Owned Enterprises number S-527 / MBU / 2007 dated July 27, 2007 concerning Rukindo Restructuring.
3. Special Letter of Authorization from the Minister of State Owned Enterprises to the President Director of PT Pelabuhan Indonesia II (Persero) on July 27, 2007

Due to the unsuccessful restructuring program I, in 2012 the Rukindo restructuring program continued with the issuance of Government Letters / Regulations as follows:
1. Letter of the Minister of State Owned Enterprises number S-95 / MBU / 2012 and number S-96 / MBU / 2012 dated March 1, 2012.
2. Power of Attorney Minister of State Owned Enterprises to the President Director of PT Pelabuhan Indonesia II (Persero) number SKU-62 / MBU / 2012 dated June 26, 2012.
3. Government Regulation number 44 of 2013. In line with the restructuring program of PT Rukindo, with the issuance of Government Regulation number 44 of 2013 issued on 5 June2013 concerning Addition of the Republic of Indonesia's State Capital Investment in the Share Capital of the Company (PT) of PT Pelabuhan Indonesia II, all shares of the Republic of Indonesia at PT Rukindo are fully transferred to PT Pelabuhan Indonesia II (Persero). At the same time, the status of PT Rukindo (Persero) has changed to PT Rukindo which is fully subject to Law Number 40 of 2007 concerning Limited Liability Companies.
4. Government Regulation number 71 of 2013 concerning Revocation of Government Regulation Number 9 of 1991 concerning the Transfer of Forms of Public Companies (Perum) Dredging to become a Company Company (Persero).

As a continuation of the Restructuring II Program, as of 5 June 2013 the status of the Company (Persero) of PT Pengerukan Indonesia changed to PT Pengerukan Indonesia which was subject to Law Number 40 of 2007 concerning Limited Liability Companies with a composition of share ownership of PT PelabuhanIndonesia II (Persero) 99.9% and PT Developer Pelabuhan Indonesia 0.1% as contained in the amendment to the Company's Articles of Association in accordance with Deed No. 05 dated 19 March 2014.

After this status change, a comprehensive restructuring was carried out by Rukindo on instructions from PT Pelabuhan Indonesia II (Persero).

Planned restructuring include:
• Conducting Inspections involving shipping management consultants on the condition of the entire ship.
• Productive assets of ships and shipyards that have the potential and are business feasible to be developed both in terms of ship conditions, investment costs and market potential will be optimized with land compensation funds.
• Non-productive assets and immovable assets that have little business value will be sold / scrap
• Negotiating payments in stages for debts that currently exist


 

PT Integrasi Logistik Cipta Solusi was founded on September 21, 2012 which is a joint venture between IPC and PT Multimedia Nusantara. The establishment of PT ILCS aims to provide e-trade logistics where stakeholders would be able to get port facilities to control and manage the flow of goods, the flow of documents and payments, as well as manage their assets effectively and efficiently.

The business line of PT ILCS is the implementation of e-services trade logistics and other services which include data processing services, e-commerce services, consultation for computer and engineering informatics, software manufacturing services (software) and service providers through the use of multimedia and telecommunications equipment.

Business activities conducted by the ILCS are :

  • Running a business in services data processing system which includes a catalog and material identification code as well as equipment, equipment Part List and Stock Cheek.
  • Running a business in e-commerce services which includes transaction or trade in goods and services through a network of electronic media, Internet, telephone, television or other elektronic media and also other related business activities.
  • Running a business in computer consulting and informatics engineering and also other related business activities.
  • Running a business in software manufacturing which includes planning and execution (development and implementation), maintenance and also other related business activities.
  • Running a business in the provide of services using multimedia and telecommunications equipment and other related activities.
  • Running a business in information technology consultation services

PT Electronic Data Interchange Indonesia (PT EDII) is engaged in telecommunications, information technology, electronic data interchange and the distribution installation and maintenance of communications equipment.

The Company provides Electronic Data Interchange – EDI which is a structured data transfer from a computer system to another computer system to facilitate the switching process of transaction data among business entities. EDI services being provided include Value Added Network (VAN) with a maximum guarantee of data traffic security, consultancy, implementation, system installation and integration, and training.

Established in July 1995, PT EDI Indonesia is 51% owned by the Company and 49% by PT Sisindosat Lintas Buana, which is a subsidiary of PT Indosat. In its development, all shares of PT Sisindosat Lintas Buana were later transferred to PT Sisindokom Lintas Buana. The increasing demand of electronic service in various areas is anticipated by PT EDI by strengthening and developing various products and services including the development of products and services for custom and excise, port, retail and banking. PT EDI also provides extended services by building network in strategic cities, making interconnection with other network, increasing the network security level and providing total solution for its customers.

Though officially listed as one of subsidiaries of the Company in May 1999, the history of PT Rumah Sakit Pelabuhan (PT RSP) could be considered as equivalent with the history of its holding company. The embryo of PT RSP was Port Health Center (PHC) established on August 21, 1971. On March 21, 1972, PHC merged with Rumah Sakit Pelayaran and changed its name into Rumah Sakit Pelabuhan on May20, 1978.

The change of status from Perusahaan Umum (Perum) Pelabuhan into PT Pelabuhan Indonesia II (Persero) also changed the status of Rumah Sakit Pelabuhan. In 1999 RSP was officially becoming a legal entity as a limited liability company and at the same time becoming the Company’s subsidiary. PT RSP is 99.52% owned by the Company and 0.48% by Koperasi Pegawai Maritim (Kopegmar).

PT RSP is managing four hospitals which are RSP Jakarta, RSP Cirebon, RSP Boom Baru Palembang and RS Port Medical Center, Jakarta with objective to serve the health of employees of PT Pelabuhan Indonesia II and their families, corporate customers and general public. Beside of managing four hospitals, PT RSP is also managing the unit of BAPEL JKPM (Badan Penyelenggara Jaminan Pemeliharaan Kesehatan Masyarakat). BAPEL JPKM was established on July 19, 2001 with the permission of the Minister No HK.00.06.1.8.1316.

As part of the transformation of PT Pelabuhan Indonesia II (Persero) or IPC into a world-class port operator, PT PMLI is committed to becoming a center for developing superior competencies that will bring forth professional employees and cadre leaders in the port, maritime and logistics sectors in the future.

Carrying the mission of ""to drive IPC towards one of the best talented and knowledge enterprises in Asia Pacific"", PT PMLI organizes various forms of certified training, consultancy activities, and knowledge management in the fields of port and maritime, logistics, management and leadership, by optimizing resources internal power and in collaboration with the best experts and institutions in Indonesia, Asia Pacific, Europe and America.

PT PMLI stands on an area of ​​+/- 5 hectares in the cool area of ​​Ciawi, Bogor with various facilities including cranes and ship simulators, warehouses, libraries with thousands of collections, ballrooms with a capacity of 1000 people, auditoriums, classrooms, 140-room residences, and facilities outbound, all of which will support learning activities.

PT Pelabuhan Indonesia II (Persero)  launches a new subsidiary specializing in investment called PT Pelabuhan Indonesia Investama (PII). The launch of the 17th IPC subsidiary was inaugurated by IPC President Director, Elvyn G, Masassya and also attended the Board of Directors of IPC Group, representatives of associations, service providers as well as financial and banking institutions, SOEs and IPC service users.

The capital ownership composition of PT Pelabuhan Indonesia Investama (PII) is 99% owned by IPC and 1% owned by PT Multi Terminal Indonesia (MTI) which is also one of the subsidiaries of IPC. This Subsidiary is managed by Randy Pangalila as President Director and Iman Rachman who is also Finance Director of IPC acting as President Commissioner of PT PII.

PT PII has a vision to be a leading investment company in the port sector and its supporters which aims to create maximum value for stakeholders through world-class management standards. Until 2022 PT PII is projected to reach assets of Rp. 11.7 T with Return of Equity (ROE) of 16%.

The presence of PT PII, the first investment company in Indonesia to focus on port business, is expected to answer the need other than to manage the funding of existing subsidiaries as well as to support business development, capacity building, strengthening, risk management and investment.
